Due-diligence acceleration

First-pass review of the data room, with the issues surfaced for a lawyer to judge.

The problem

Diligence is linear: read everything, find the few things that matter, write the report. The reading is the cost, and the deadline never moves.

How we would run it

  1. STAGE 1

    Evidence

A written picture of the current state, with its gaps named.

Review the issue lists and reports from recent comparable deals. What counts as an issue is deal-specific and has to be pinned down first.

  2. STAGE 2

    Baseline

A baseline measurement both sides agree on.

Measure the current pass: hours per thousand documents, and what the team found — including what was found late.

  3. STAGE 3

    Design

A design your architecture and risk leads have approved.

Define the issue taxonomy and thresholds with the deal lead, and design the report structure before any document is processed.

  4. STAGE 4

    Ship

Working software or a live process, in production.

Run first-pass review producing a ranked issue list with citations, feeding the review team rather than replacing it.

  5. STAGE 5

    Prove

A result measured against the baseline, and an instrument you keep.

Compare against the team's own findings on a held-back subset. Report what it missed as well as what it caught.

What you get

  • Issue taxonomy and materiality thresholds for the deal type
  • First-pass review with a ranked, cited issue list
  • Report skeleton populated from the findings
  • Recall and precision on a held-back subset

What it needs from you

  • Data room access under the deal's confidentiality terms
  • Issue lists from comparable past deals
  • A deal lead available to settle judgment calls

Where the human stays

The output is a triage list, never a diligence opinion. Lawyers confirm every issue before it reaches a report, and a subset is always reviewed independently to test what was missed.

How we would know it worked

  • Recall against the team's own findings
  • Hours per thousand documents
  • Issues surfaced earlier than the previous process
